Terms of business
The terms on which we provide our introduction service and this website.
Last updated
These terms apply to your use of this website and to any introduction service Astraessa Ltd ("Astraessa", "we", "us") provides to you. Where we agree a specific engagement with you, the written engagement letter for it applies alongside these terms, and takes precedence where the two differ.
Who we are
Astraessa Ltd is a company registered in England and Wales [company number to be confirmed], with its registered office at [registered office to be confirmed]. Contact: introductions@astraessa.com.
What we do — and do not do
We provide an introduction service. We identify people and businesses within our network who may be relevant to each other and, with the agreement of both, introduce them. The parties then decide independently whether and how to proceed.
- We do not provide financial, investment, tax or legal advice, and nothing on this website or in our communications is such advice.
- We do not arrange, negotiate or execute transactions, and we do not make investment decisions for anyone.
- We do not hold or handle client money.
- Astraessa is not authorised or regulated by the Financial Conduct Authority. Where an opportunity requires regulated services, those are provided by appropriately authorised professionals, not by us.
Introductions and consent
We do not share your identity or details with a proposed counterparty until you have seen who we propose and agreed. An introduction is made only when both parties have agreed to it.
Your responsibilities
- The information you give us is accurate and not misleading, and you are entitled to share it.
- You carry out your own due diligence on any party we introduce, and take independent professional advice before entering into any transaction.
- You tell us promptly if anything material about your requirement changes.
Fees
Our fee is agreed in writing before any work begins, and is typically between 3% and 5% of the value of the funding or transaction. A small portion is payable when we start work, and the balance on completion of the transaction. Where another party pays us a fee in connection with an introduction, we will tell you. Invoices are payable within [14] days. Fees are exclusive of VAT, which will be added where applicable.
No guarantee
We make introductions in good faith, but we cannot guarantee that an introduction will lead to a transaction, or that any party will act in a particular way. The decision to proceed, and its consequences, rest with the parties.
Non-circumvention
If, within [24] months of an introduction, you enter into a transaction with a party we introduced to you, or with someone connected to them, our agreed fee is payable as if we had been involved in that transaction.
Confidentiality
We treat everything you share with us as confidential, and use it only to provide our service. We are happy to sign a mutual non-disclosure agreement before you share anything detailed. We ask that you treat information about parties we introduce in the same way.
Liability
We are not liable for the acts, omissions or decisions of any party we introduce, or for any loss arising from a transaction between parties. Our total liability to you in connection with our services is limited to the fees you have paid us for the engagement concerned. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.
